Nectar is pleased to present the 15% Yield Performing Low LTV 2nd Position Notes.
STRUCTURE & SECURITY
The pool consists of 16 second position financings: 11 cash flow assignments (mezzanine debt) and 5 preferred equity investments. All notes are paid off prior to the maturity date of the senior mortgage. 12 of the 16 notes are fully amortizing, the other 4 are at least 50% amortizing. Remaining term ranges from 28-56 months.
Both structures are senior to common equity, and junior to a first mortgage. All financings have a Personal Guaranty with the deal sponsor, and either a UCC Lien on the Property Owning Entity (cash flow assignment) or a Preferred Equity position with the right to sell the asset after sixty days with no distributions.

SALE PROCESS
Please execute the confidentiality agreement to access Tier 1 data.
Prospective buyers will be required to have an introductory call and submit proof of funds to access the Tier 2 Due Diligence Vault. The Tier 2 Diligence vault will be sent via DocSend link.

We are offering participation (co-investment) in this portfolio at a 15% yield (based on IRR). Buyers may participate in the entire pool or select specific notes out of the pool. Minimum investment is $100,000.
Indicative bids are due by Wednesday, March 13, 2024.
After reviewing the indicative bids, we will respond to bidders accordingly and negotiate toward a definitive, binding agreement. Bids will be evaluated based on the following:
Purchase Price – groups bidding at or above our asking price will be given preference.
Timing – we will give preference to groups who can close prior to the advertised close date of March 29, 2024.
Certainty of Execution – we will give preference to groups who act quickly, put money into escrow, and have a track record of executing similar investments.
Investment Size – while the minimum investment is $100,000, we will give preference to groups who want to take the full co-investment allocation or a higher portion of it.
Winning bidders must be prepared to execute a purchase agreement and post a 2% non-refundable deposit within 24 hours of the final bid due date.
